This Privacy Policy (“Policy”) describes the information collected by or on behalf of Clarus Technology, Inc. (“Clarus,” “we,” “us,” or “our”) through our website www.clarustechnology.com (including all of its subdomains) (“Site”) and how the information is used and shared. If you have questions or concerns about this Policy, please contact us as set forth below.

We may modify this Policy at any time. All changes will be effective immediately upon posting to the Site. Changes that we, in our sole discretion, determine are material will be conspicuously posted on the Site or otherwise communicated to you.

  • Information We Collect

We may collect information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, to you (“Personal Information”) when you use our Site or otherwise interact with us. 

Personal Information is required to use certain features of the Site. In such circumstances, we may be unable to provide you with our services unless you provide your Personal Information. 

We may collect, use, store and transfer the following kinds of Personal Information about you:

  • Identity Data including first name, last name, username, title and gender. 
  • Contact Data including billing address, delivery address, email address and telephone number.
  • Profile Data including your username and password. 
  • Financial Data including bank account and payment card details. 
  • Transaction Data including details about payments to and from you and other details of products and services you have purchased from us. 
  • Technical Data including IP addresses, login data, browser type and version, operating system and platform, device ID and other technology on the devices you use to access our Site. 
  • Usage Data including information about how you interact with and use our website, products and services.
  • Marketing and Communications Data including your preferences in receiving marketing from us and our third parties and your communication preferences. 

The Personal Information we collect falls into the following categories, depending on the method we use to collect the Personal Information from you: (a) information you provide to us; (b) information we collect through automated methods when you use our Site and (c) information we collect from third parties.

  • Information You Provide to Us

We collect Personal Information that you provide directly to us. If you elect to provide data that personally identifies you such as your name, email address, mailing address, phone number, financial data or any other similar information, we will collect, use, and share such Personal Information pursuant to this Policy and applicable law. This may occur in the following ways:

  • The Site. We collect Personal Information that you may submit to us when using our Site and online services.
  • Communications with us. If you communicate with us, such as through our online contact us webform, we will collect any Personal Information that you elect to provide to use during, or as a result of, those communications, such as name, phone number, email address, and message content.
  • Data Automatically Collected

We may use automated technologies to collect Personal Information from your computer system or mobile device when you use certain portions of our Site. This may include the following:

  • Site Activity. We may collect Personal Information about how you use Site. We may combine this Personal Information automatically collected from you with other Personal Information.
  • Tracking Technologies. Our Site may use cookies, web beacons, pixel tags and other tracking technologies (collectively “Tracking Technologies“). A cookie is a small text file that our Site saves onto your computer or device when you use the Site that provides us certain information about your activities. Cookies allow the Site to remember your actions and preferences and recognize you or your browser, along with some information you provided. Web beacons / pixel tags are small graphics on a webpage that monitor your activity when viewing a webpage.

Most browsers automatically accept Tracking Technologies. You can disable this function by changing your browser settings but disabling certain Tracking Technologies may impact your use and enjoyment of the Site. Not all features or functions of the Site may work properly if you disable Tracking Technologies. You cannot disable all Tracking Technologies, such as Tracking Technologies that are essential to the functioning of the Site.

The Tracking Technologies on certain portions of our Site may collect information such as:

  • IP addresses assigned to the computers and other devices you use;
  • your internet service provider;
  • device ID number;
  • approximate geographic location;
  • browser type;
  • Site pages visited;
  • websites you access before and after visiting the Site, and  
  • data related to how and when you use the Site.

California’s “Do-Not-Track” Requirement. we currently do not honor “do not track” signals.

We rely on one or more of the following legal bases for collecting and using your Personal Information:

  1. Performance of a contract with you: where we need to perform a contract we are about to enter into or have entered into with you. 
  2. Legitimate interests: we may use your Personal Information where it is necessary to provide our services, conduct our business or pursue or legitimate interests. We make sure we consider and balance any potential impact on you and your rights before we process your Personal Information for our legitimate interests. We do not use your Personal Information for activities where our interests are overridden by the impact on you (unless we have your consent or are otherwise required or permitted by law to do so). 
  3. Legal obligation: we may use our Personal Information where it is necessary to comply with a legal obligation that we are subject to. 
  4. Consent: we rely on consent where we have obtained your active agreement to use your Personal Information for a specified purpose.

You will receive marketing from us if you have requested information from us or purchased our services and you have not opted out of receiving marketing. We may also analyse your Identity, Contact, Technical, Usage and Profile Data to form a view which products, services and offers may be of interest to you so that we can then send you relevant marketing communications.

  • Retention of Personal Information

We will keep Personal Information for the period necessary to fulfil the purposes described in this Policy, unless a longer retention period is permitted or required by law. We may retain your Personal Information for a longer period in the event of a complaint or if we reasonably believe there is a prospect of litigation in respect to our relationship with you.

To determine the appropriate retention period for Personal Information, we consider the amount, nature and sensitivity of the Personal Information, the potential risk of harm from unauthorised use or disclosure of your Personal Information, the purposes for which we process your Personal Information and whether we can achieve those purposes through other means, and the applicable legal, regulatory, tax, accounting or other requirements.

In some circumstances you can ask us to delete your Personal Information. Please see further below for more information.

In some circumstances we will anonymise your Personal Information (so that it can no longer be associated with you) for research or statistical purposes, in which case we may use this information indefinitely without further notice to you.

  • Disclosure of Personal Information

We may disclose Personal Information to the following categories of parties, in compliance with applicable laws:

  • Affiliates. We may disclose Personal Information with our affiliates who have a need to know the information for our business purposes.
  • Third Parties and/or Service Providers. We may disclose Personal Information with service providers that provide services for us. For example, we may disclose Personal Information to vendors to help us host and manage the Site, improve the content and functionality of the Site, perform data analysis and statistical analysis, troubleshoot problems with the Site, and support or provide the security of the Site.  
  • Government Officials / Law Enforcement. We will cooperate with law enforcement and other governmental agencies, and may disclose Personal Information: (i) if we believe in good faith we are legally required to disclose that Personal Information, (ii) if we are advised to disclose Personal Information by our legal counsel, or (iii) when necessary to identify, contact or bring a legal action against someone who may cause or be causing harm to, or interfering with our legal rights or any other party.
  • Professional Advisors. We may disclose Personal Information to our professional advisors, such as our attorneys, accountants, financial advisors, and business advisors, in their capacity as Clarus Technology, Inc.’s advisors.  
  • Change in Ownership. In the event Clarus Technology, Inc. is the subject of a change of control or in the event the Site change ownership, in whole or in part, or in the event of a bankruptcy, receivership or a similar transaction, we may provide Personal Information as part of the transaction to the subsequent owner(s).
  • Other. We may disclose Personal Information to third parties when explicitly requested by or consented to by you, or for the purposes for which you disclosed the Personal Information to us as indicated at the time and point of the disclosure (or as was obvious at the time and point of disclosure).
  • Children’s Information.

The Site is not directed at children under 18 years of age. We do not knowingly collect, sell, use, or disclose Personal Information directly from children under 18. If we obtain actual knowledge that any Personal Information we collect has been provided by a child under the age of 18, we will promptly delete that information. If a parent or legal guardian learns that their child provided us with Personal Information without his or her consent, please contact us and we will make commercially reasonable attempts to delete such Personal Information.  

  • Data Security

We use appropriate technical and organizational measures to help secure Personal Information against accidental loss, misuse, and alteration appropriate to the type of Personal Information processed. In addition, we will limit access to your Personal Information to those employees and third parties who have a business need to know. They will only process your Personal Information on our instructions and they are subject to a duty of confidentiality. We have put in place procedures to deal with any suspected Personal Information breach and if a breach of your Personal Information occurs, we will notify you of the breach consistent with applicable law.

You understand that no data transmission over the internet or device can be guaranteed to be 100% secure. While we strive to protect Personal Information, we do not guarantee the security of Personal Information and you provide Personal Information at your own risk.

  • International Data Transfers

We may share your Personal Information within our company group. This will involve transferring your data outside the region where you are located. Whenever we do so, we always ensure that a similar degree of protection is afforded to it by ensuring that the following safeguards are implemented: 

  • Standard contractual clauses – we may use specific standard contractual terms approved for use in the region you are located which give the transferred Personal Information the same protection. 

We may also transfer your Personal Information to service providers that carry out certain functions on our behalf. This may involve transferring Personal Information to countries which have laws that do not provide the same level of data protection as the region you are located. Whenever we transfer your Personal Information outside the region where you are located, we ensure a similar degree of protection is afforded to it by ensuring that the following safeguards are in place: 

  • we will only transfer your Personal Information to countries that have been deemed by the region you are located to provide an adequate level of protection for Personal Information; or 
  • we may use specific standard contractual terms which give the transferred Personal Information the same protection as it has in the region where you are located. 
  • Social Media

We are active on social media, including LinkedIn (“Social Media”). Anything you post on Social Media is public information and will not be treated confidentially. We may post (or re-post) on the Site and our Social Media pages any comments or content that you post on Social Media platforms. Your use of Social Media is governed by the privacy policies and terms of the providers that own and operate those platforms and not by this Policy. We encourage you to review those policies and terms.

  • Third-Party Websites

In addition to Social Media, the Site may link to websites not controlled by us. We are not responsible for third parties’ privacy policies or practices. This Policy does not apply to any third-party websites or to any data that you provide to third parties. You should read the privacy policy for each website that you visit.

  • Your Legal Rights if you are resident in the United Kingdom or European Economic Area

You have a number of rights under data protection laws in relation to your Personal Information, including: 

  • Request access to your Personal Information.
  • Request correction of the Personal Information that we hold about you. 
  • Request erasure of your Personal Information. 
  • Object to processing of your Personal Information.
  • Object to processing of your Personal Information for direct marketing purposes.
  • Request the transfer of your Personal Information to you or to a third party. 
  • Withdraw consent where we are relying on consent to process your Personal Information. 
  • Request restriction of processing of your Personal Information.

  • Notice to California Consumers

If you are a California resident, the California Consumer Privacy Act of 2018, as amended by the California Privacy Rights Act of 2020 (collectively, the “CCPA”), provides you with certain rights regarding your Personal Information. This section describes your CCPA rights and explains how to exercise those rights. For purposes of this section, “Personal Information” has the meaning given in the CCPA and does not include information that is publicly available, deidentified, or aggregated.

Collection and Disclosure of Personal Information

In the preceding twelve (12) months, we have collected the following categories of Personal Information: 

  1. identifiers (e.g., name, email address, postal address, phone number, IP address, account name); 
  2. Personal Information categories listed in Cal. Civ. Code § 1798.80(e) (e.g., name, address, telephone number, credit card number); 
  3. commercial information (e.g., records of products or services purchased, purchasing histories or tendencies); 
  4. internet or other electronic network activity information (e.g., browsing history, search history, interaction with the website); 
  5. geolocation data; 
  6. professional or employment-related information (e.g., job application data); and 
  7. inferences drawn from the above categories to create a profile reflecting your preferences and characteristics.

The categories of third parties to whom we disclose Personal Information for a business purpose include: affiliates and subsidiaries, service providers, payment processors, hosting providers, analytics providers, marketing and advertising platforms, customer relationship management providers, professional advisors (such as lawyers, auditors, and insurers), business successors (in the event of a merger, acquisition, or similar transaction), and government authorities or law enforcement agencies (where required by applicable law or legal process).

Sources of Personal Information

We collect Personal Information from the following categories of sources: (a) directly from you (e.g., when you create an account, make a purchase, or contact us); (b) indirectly from you (e.g., through your use of the website); (c) from third parties (e.g., social media platforms, analytics providers, advertising networks, insurance companies, underwriters and veterinary customers and (d) from publicly available sources.

Business and Commercial Purposes for Collecting Personal Information

We collect and use Personal Information for the business and commercial purposes described in the “How We Use Your Information” section of this Privacy Policy, including: (a) providing, maintaining, and improving the website and our services; (b) processing transactions and fulfilling orders; (c) communicating with you; (d) marketing and advertising; (e) detecting, preventing, and responding to security incidents and fraud; (f) debugging and repairing errors; (g) performing internal research and analytics; and (h) complying with legal obligations.

Sale and Sharing of Personal Information

We do not “sell” your Personal Information as that term is defined under the CCPA. We do not “share” your Personal Information for cross-context behavioral advertising purposes. We do not have actual knowledge that we sell or share the Personal Information of consumers under 16 years of age. Please note that you may use opt-out preference signals such as the Global Privacy Control (GPC) to automatically opt-out of the sale/sharing of your personal information when you visit our website. 

Your CCPA Rights

Subject to certain exceptions, as a California resident you have the following rights:

  • Right to Know. You have the right to request that we disclose to you the categories and specific pieces of Personal Information we have collected about you, the categories of sources from which your Personal Information was collected, the business or commercial purposes for collecting or selling your Personal Information, and the categories of third parties with whom we share your Personal Information.
  • Right to Delete. You have the right to request that we delete Personal Information that we have collected from you, subject to certain exceptions provided by law.
  • Right to Correct. You have the right to request that we correct inaccurate Personal Information that we maintain about you.
  • Right to Opt-Out of Sale or Sharing. You have the right to opt out of the sale or sharing of your Personal Information. As noted above, we do not currently sell or share your Personal Information.
  • Right to Limit Use of Sensitive Personal Information. To the extent we collect sensitive Personal Information (as defined under the CCPA), you have the right to limit our use and disclosure of such information to purposes permitted by the CCPA.
  • Right to Data Portability. To the extent required by the CCPA, you have the right to request that we transfer your Personal Information to another entity, in a structured, commonly used, machine-readable format, to the extent technically feasible.
  • Right to Non-Discrimination. We will not discriminate against you for exercising any of your CCPA rights. We will not deny you goods or services, charge you different prices or rates, provide you a different level or quality of goods or services, or suggest that you may receive a different price or rate or different level or quality of goods or services, because you exercised your CCPA rights

Exercising Your CCPA Rights

To exercise any of the rights described above, you may submit a verifiable consumer request to us by emailing  privacy@clarustechnology.com. Only you, or a person you have authorized to act on your behalf, may make a verifiable consumer request related to your Personal Information. You may also make a verifiable consumer request on behalf of your minor child. We will verify your identity before fulfilling your request by matching information you provide with information we have on file. We will respond to your request within forty-five (45) days of receiving it. If we require more time (up to an additional forty-five (45) days), we will inform you of the reason and the extension period in writing. You may make a verifiable consumer request for access or data portability no more than twice within a twelve (12) month period.

Authorized Agents. 

You may designate an authorized agent to submit a request on your behalf. To do so, you must provide the authorized agent with written permission to act on your behalf, and we may require you to verify your own identity directly with us and confirm that you provided the authorized agent permission to submit the request.

Automated Decision Making Technologies

Automated decision-making technologies (ADMTs) are technologies that process Personal Information and use computation to execute a decision and either replace or substantially replace human decision-making, resulting in decisions made without human involvement. Decisions are significant when they result in the provision or denial of employment or independent contracting opportunities or compensation, healthcare services, or financial or lending services. Advertising is not a significant decision.  We do not currently use ADMT to make significant decisions about applicants, so we do not provide ADMT access, opt-out, or appeal rights.

Notice of Financial Incentives

We may offer discounts, advertisements, marketing incentives, rewards and other offers and benefits to you if you sign up to email and SMS promotional campaigns or other programs.   When you sign up for one of our email or SMS programs, we typically ask you to provide your name and contact information (such as email address and/or telephone number).   Because our programs involve the collection of Personal Information as well as offering of various benefits, our programs may be interpreted as providing a “financial incentive” under California Law.   To the extent we derive value from the collection of the Personal Information you provide to us, that value is directly related to the value to us of the opportunity to promote products to you as well as the value of the benefits that you obtain.   You may withdraw from participating in our email or SMS programs at any time by contacting us using the designated method described in the terms and conditions that apply to the program, or by contacting us at the information below. 

  • Notice to Residents of Other U.S. States

This section applies to residents of U.S. states that have enacted comprehensive consumer privacy laws, other than California residents who are addressed above. The rights described below apply to the extent required by applicable law and are subject to any limitations or exceptions that law permits.

Your Privacy Rights

Depending on your state of residence, you may have one or more of the following rights, subject to applicable exceptions:

  • Right to Know / Access. Confirm whether we process your Personal Information and access what we have collected about you, including the categories we process, the purposes for processing, and the categories of third parties with whom we share it.
  • Right to Delete. Request deletion of Personal Information we have collected from or about you, subject to certain exceptions.
  • Right to Correct. Request correction of inaccurate Personal Information we maintain about you.
  • Right to Data Portability. Obtain a copy of the Personal Information you previously provided to us in a portable, commonly used, machine-readable format, to the extent technically feasible.
  • Right to Opt-Out of Targeted Advertising. Opt-out of the processing of your Personal Information for targeted advertising meaning advertising based on your activity across unaffiliated websites, applications, or services used to predict your preferences or interests.
  • Right to Opt-Out of Sale. Opt-out of the sale of your Personal Information. As noted above, we do not sell your Personal Information.
  • Right to Opt-Out of Profiling. Opt-out of profiling used to make decisions that produce legal or similarly significant effects concerning you.
  • Right to Non-Discrimination. We will not deny, charge differently for, or provide a lesser quality of goods or services because you exercised any right in this section.

Sensitive Personal Information

To the extent applicable law grants you rights regarding sensitive Personal Information — which may include data concerning health, race or ethnic origin, religion, sexual orientation, citizenship or immigration status, financial account information, precise geolocation, communications content, or biometric identifiers — we will process such data only in accordance with applicable law, obtaining your consent where required or limiting our use to permitted purposes.

How to Exercise Your Rights

To submit a request, please contact us using the information in the “Contact Us” section. We may ask you to provide reasonable information to verify your identity, but we will not require you to create an account as a condition of making a request. You may designate an authorized agent to act on your behalf by providing that agent with written permission; we may verify both your identity and the agent’s authority before fulfilling the request. We will respond within the timeframe required by applicable law.

Appeals

If we decline to take action on your request, you may have the right to appeal our decision by contacting us at the information in the “Contact Us” section with “Privacy Rights Appeal” in your message. We will respond within the timeframe required by applicable law. If your appeal is denied, you may submit a complaint to your state’s attorney general or other applicable regulatory authority.
